Komart Digital Media – Terms & Conditions

1. Definitions
Digital Screens / Network: Indoor display screens owned or operated by Komart Digital Media.
Advertising Content: Artwork, videos, images, messages, or materials submitted for display.
Campaign: The agreed advertising period, frequency, duration, and locations.
2. Scope of Service
Komart provides advertisers with the opportunity to display promotional content on indoor digital screens located at point-of-purchase areas in retail and commercial locations. We manage scheduling, playback, rotation, and reasonable uptime for each campaign.
Advertisers must supply lawful, accurate, and high-quality materials suitable for display.
3. Advertising Approval
Content must be submitted at least 48 hours before the start date for review. Komart may reject or request changes to content that:
- Violates Jamaican advertising laws or standards
- Contains offensive, misleading, or inappropriate material
- Is technically incompatible or poor quality
4. Fees, Billing, and Payment
Advertising fees are outlined in quotations or invoices. Payment is due before the campaign begins unless otherwise agreed in writing. Late payments may delay or suspend campaign activation.
Payments are non-refundable once the campaign starts running.
5. Scheduling & Display
Ads will be displayed based on the agreed schedule. Komart aims for consistent uptime but cannot guarantee uninterrupted service due to external factors such as power outages or connectivity issues.
If downtime exceeds 48 consecutive hours, additional playback time may be provided at Komart’s discretion.
6. Content Standards & Compliance
Advertisers warrant that all content:
- Is legally owned or properly licensed
- Does not violate copyrights or trademarks
- Is accurate, truthful, and compliant with FTC and Jamaican laws
7. Modifications & Cancellations
Cancellations must be submitted at least 7 days before the campaign start date. Adjustments to active campaigns require written approval.
Cancellations after scheduling may incur fees or be non-refundable.
8. Confidentiality
Both parties agree to keep pricing, campaign details, and proprietary information confidential unless disclosure is legally required.
9. Limitation of Liability
Komart Digital Media is not liable for:
- Sales or business outcomes of advertising campaigns
- Errors in content supplied by advertisers
- Indirect, incidental, or consequential damages
Komart’s total liability will not exceed the amount paid for the specific campaign.
10. Indemnification
The advertiser agrees to indemnify and hold Komart harmless from claims or losses arising from the advertiser’s content or breach of these Terms.
11. Intellectual Property
All materials created by Komart remain our intellectual property unless purchased outright. Reproduction or redistribution requires written permission.
12. Termination
Komart may suspend or terminate services if the advertiser breaches these Terms, submits unlawful content, or fails to make payments.
13. Force Majeure
Komart is not responsible for delays caused by uncontrollable events such as natural disasters, storms, power outages, or civil disturbances.
14. Governing Law
These Terms are governed by the laws of Jamaica. Disputes will be handled in Jamaican courts.
15. Acceptance
By submitting content, approving an invoice, or signing a quotation, the advertiser agrees to these Terms & Conditions in full.
